How old are you and what is your job and income? What are your debts?
If you're under 25, I'm not sure you should get an RX8. You did mention being severely upside down on your Matrix. Why did that happen?
The Toyota you can basically drive without worrying about it, like a Honda Civic more or less. After you finish payments, you simply continue to drive for years and years and over 300,000 miles if you wish. You're going to be making payments all over again on the RX8 and at the same time put money in to maintain the car. If you don't maintain the RX8 diligently, you're going to get hit with bigger service costs. Who knows how much over 100,000 miles the RX8 can get, especially with sports enthusiast drivers. And all the while you're making monthly payments.
Do you have other things in life you need to plan for? You don't want a new car to knock you off path. And a new exciting car isn't a real cure for other ailments in your current life. I know you said you got a great deal on the RX8 but it still would be more expensive than say a Scion TC, which is a different kind of new and fairly cool car with great mod capability.
If the above doesn't pertain to you, then what the hell are you waiting for? Go and get the RX8 asap!

Ok, here are some more points about RX-8 ownership.
If your in a hurry try to park away from people as when they complement your car you will have to go through the whole spiel about what kind of car it is and the whole rotary engine thing.
Plan on spending more money on cleaning product to keep your 8 shining.
Plan on dropping a grand or two on the few simple MODs out there.
If this is your daily driver plan on $1,000 for winter rims / tires.
Headroom is low with the sunroof.
The sound over 5,000 RPM will make you drive harder and use more fuel
Small fuel tank will improve your relationship with that guy that pumps your gas.
Plan on increasing your music collection, as you will be driving more.
Plan on knowing more about your car than the people at the dealership that service it. This will make the frustration they will cause you easier to deal with.
Enjoy being part of an exclusive club, I drive 400 miles a week and only see another 8 less than once a week.

I somewhat agree with the guy above.
If you are upside down on your matrix already, adding that to what you are going to lose on the '8 as soon as you drive it off the lot. Bad money move. Get your finances straight first.
Paying $40k+ for an rx-8 is probably not such a good idea.

Good luck on your decision, and remember, even with 100 more HP and despite being heavier, the Mustang will get as good or better gas mileage.

being upside down has allot to do with it because i can get into a car that has huge rebates that will eat up all my negative equity and put me in a car thats worth what im paying...as of right now there is 4k in rebates from the dealer and i will be getting the rx at 1k below dealer holdback which is below invoice...so i will be paying the same or less for a new rx8 than than i am paying for my matrix which is worth significantly less

the mustang is a great value, but if you like the 8, you'll forget about 300HP and all that stuff, to me the 8 just is kind of different, which is why I like it. I sat in the Stang and again, its nice, but just has some things that didn't flow with me- like the same ac ***** that they put in a probe 10 years ago.
The 8 is fast enough if you know how to drive it to get by and shun off most people if you really need to. HP ratings or not, it'll feels fast and, not to be slogan heavy, but not only does it ZOOM zoom, it "just feels right".
I have 10K on mine, and use it as a daily driver. Plan on getting winter tires if you see even the slightest snow.. Other than that, you'll love it enough to take the right care on it.
